Mutual NDA (SKELETON — counsel review required)

NOT legal advice. Clause checklist for the pre-engagement NDA — signed before the Discovery Audit (SnowOps sees the client's posture; the client sees SnowOps's methods).

Clauses to include

  1. Parties — SnowOps + {{CLIENT}}; mutual (both disclose).
  2. Definition of Confidential Information — incl. the client's cloud posture, audit findings, architecture; and SnowOps's methods, module library, pricing.
  3. Exclusions — public info, independently developed, rightfully received, required by law.
  4. Obligations — use only for evaluating the engagement; reasonable care; no disclosure to third parties except need-to-know personnel under equivalent obligations.
  5. Term & survival — confidentiality survives (e.g., 2–3 years; trade secrets indefinitely — per counsel).
  6. Return/destruction — on request or termination; the Discovery Audit report handling.
  7. No license / no obligation — NDA grants no IP license + no obligation to proceed.
  8. Remedies — injunctive relief for breach.
  9. Governing law / jurisdiction — per counsel (India + client).
